1. Acceptance of Terms
By accessing and using this website (the "Site") or engaging our services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Site or our services.
2. Services
Zenifex IT Solutions provides a range of IT services including, but not limited to, website development, mobile app development, UI/UX design, and IT support ("Services"). All Services are provided subject to a separate Service Agreement or Scope of Work document which will outline the specific deliverables, timelines, and costs.
3. Payments
All prices for Services are listed in INR and are exclusive of GST. A non-refundable advance payment of 50% is required to initiate any service. The remaining 50% is due upon final delivery of the project. Customizations or add-ons may incur additional charges.
4. Intellectual Property
All content created by Zenifex IT Solutions for the client (including designs, code, and branding) will become the exclusive property of the client upon receipt of final and full payment. Any pre-existing technology, code, or third-party assets used to build the project remain the property of their respective owners.
5. Limitation of Liability
In no event shall Zenifex IT Solutions be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of profits, data, or business interruption, arising out of the use or inability to use the Services, even if advised of the possibility of such damages.
6. Termination
Either party may terminate a Service Agreement if the other party breaches a material term and fails to cure such breach within a specified timeframe (e.g., 30 days). Upon termination, the client is responsible for paying for all work completed up to the date of termination.
7. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of India, and you irrevocably submit to the exclusive jurisdiction of the courts in Ujjain, Madhya Pradesh.
8. Changes to Terms
We reserve the right to modify these terms and conditions at any time. We will notify you of any changes by posting the new terms on this Site. You are advised to review this page periodically for any changes.
